Article 1 General

1. These general terms and conditions, hereinafter referred to as: “the terms and conditions”, apply to every Agreement between the general partnership “DVL Productions”, registered in the trade register of the Chamber of Commerce under number 73586110, hereinafter referred to as: “DVL Productions”, and a Counterparty, hereinafter referred to as “the Counterparty”, to which DVL Productions has declared these terms and conditions applicable.

2. The Event is understood to mean organizing and supervising (foreign and domestic) bicycle trips and clinics and organizing racing bicycle related events.

3. The applicability of additional and/or deviating conditions of the Other Party or of third parties do not bind DVL Productions, unless they have been accepted in writing by DVL Productions. Additions and/or deviations from these conditions only apply if they have been accepted in writing by DVL Productions. In the event of a contradiction, the terms and conditions of DVL Productions shall prevail over those of the Other Party. Deviating behavior or use in the past can never lead to the ineffectiveness of (provisions from) these terms and conditions.

4. The Other Party with whom a contract has been concluded on the basis of these terms and conditions is deemed to have tacitly agreed to the applicability of these terms and conditions to Agreements concluded with DVL Productions at a later date.

5. The possible non-applicability of a (part of a) provision or provisions from these terms and conditions does not affect the applicability of the other provisions.

6. A description of the Event is included in a separate Agreement Confirmation and/or Agreement between DVL Productions and the Other Party.

7. Without prejudice to the provisions of these terms and conditions, the Other Party acknowledges and accepts the warranty limitations and/or any other comments and reservations as included in the offer, an Agreement Confirmation and/or any separate Agreement between DVL Productions and the Other Party.

Article 2 Formation, term and amendment of the Agreement

1. The Agreement is concluded after written acceptance by the Other Party, with an explicit statement that the Other Party agrees to these terms and conditions, hereinafter referred to as: “the Agreement”. Changes to the Agreement are only binding for DVL Productions if and as soon as DVL Productions has accepted them in writing.

2. If a period has been agreed or specified for the completion of certain activities under the Agreement, these are never strict deadlines and default only takes effect after a proper notice of default, unless compliance is no longer possible.

3. DVL Productions has the right to have the agreed activities of the Agreement performed by third parties under its management.

4. If during the implementation of the Agreement it appears that it is necessary to adjust the Agreement for proper implementation, the parties will make adjustments in a timely manner and in mutual consultation. The necessary adjustment may have consequences for price and term. If the parties do not reach agreement in this context, DVL Productions is entitled to compensation for the work already performed and the goods delivered and/or ordered.

5. Without being in default and without prejudice to the provisions of the previous paragraph, DVL Productions may refuse an adjustment to the Agreement, whether necessary or not, if this cannot reasonably be expected of DVL Productions.

6. DVL Productions cannot be held to its Agreement if the Other Party can reasonably understand that the Agreement, or any part thereof, contains an obvious mistake or error.

Article 3 Prices

The price only applies to the Event for which the Agreement was made and does not automatically apply to any future (similar) Events, unless stated otherwise in writing.

Article 4 Additional work

1. Changes to the size of the Event must be submitted in writing by the Other Party.

2. The costs for the additional work are for the account of the Other Party.

3. In the event of additional work, DVL Productions will provide the Other Party with a specification of the additional work and the associated costs.

Article 5 Payment and collection costs

1. Payment must be made by direct debit, cash on delivery or, if on account, without any right to deduction, discount or set-off, in a manner to be indicated by DVL Productions in the currency in which the invoice is made, unless otherwise agreed in writing. indicated by DVL Productions.

2. When signing the Agreement for the Event, 30% of the invoice amount must be paid in advance.

3. The remaining payment must be made no later than eight weeks before the commencement of the date agreed in the Agreement.

4. All payment terms are to be regarded as deadlines, unless agreed otherwise in writing.

5. If the Other Party fails to pay a (partial) invoice on time, the Other Party will be in default by operation of law, without further notice of default being required. The Other Party will then owe 5% interest per month from the moment that the Other Party is in default until the moment of payment of the full amount due. Part of the month is considered a full month.

6. If the Other Party is in default or in default in the (timely) fulfillment of its obligations, then all reasonable costs for obtaining payment out of court will be borne by the Other Party, without prejudice to the other rights accruing to DVL Productions, such as those on compensation and compliance. The extrajudicial costs are calculated on the basis of what is currently customary in Dutch collection practice. However, if DVL Productions has incurred higher reasonable costs for collection, the actual costs incurred are eligible for reimbursement, including any judicial and execution costs incurred. The Other Party also owes interest on all collection costs referred to and owed here.

Article 6 Suspension, dissolution and premature termination of the Agreement

1. DVL Productions is authorized to suspend the fulfillment of its obligations or to dissolve the Agreement (out of court), if:

– the Other Party does not, not fully or not timely fulfill its obligations under the Agreement (attributable shortcoming);

– the Other Party has been requested to provide security for the fulfillment of its obligations under the Agreement when concluding the Agreement and this security is not forthcoming or is insufficient;

– due to the delay on the part of the Other Party, DVL Productions can no longer be required to comply with the Agreement under the originally agreed conditions.

2. DVL Productions is also authorized to dissolve the Agreement (extrajudicially) if circumstances arise of such a nature that fulfillment of the Agreement is impossible or if other circumstances arise that are of such a nature that unaltered maintenance of the Agreement is reasonably cannot be required of DVL Productions.

3. The possibility of (extrajudicial) dissolution also applies in the event of liquidation, (application for) suspension of payment or bankruptcy, attachment against the Other Party, debt restructuring or any other circumstance as a result of which the Other Party can no longer freely dispose of its assets. possess.

4. If the Agreement is dissolved (out of court), the claims of DVL Productions against the Other Party are immediately due and payable. If DVL Productions suspends compliance with its obligations, it retains its claims under the law and the Agreement.

5. If DVL Productions proceeds to suspension or (extrajudicial) dissolution on one of the grounds referred to in this article, it is in no way obliged to compensate damage and costs incurred in any way as a result.

6. If the suspension or the (extrajudicial) dissolution is attributable to the Other Party, DVL Productions is entitled to compensation for the damage, including the costs, resulting directly and indirectly.

Article 7 Force majeure

1. DVL Productions is not obliged to further perform the Agreement if this is not possible due to force majeure.

2. In these terms and conditions, force majeure is understood to mean, in addition to what is understood in this respect by law and jurisprudence, all external causes, foreseen or unforeseen, over which DVL Productions cannot exert any influence, but as a result of which DVL Productions is unable to fulfill its obligations. to fulfill. DVL Productions also has the right to invoke force majeure if the circumstance that prevents (further) fulfillment of the Agreement occurs after DVL Productions should have already fulfilled its obligations.

3. In the event of temporary force majeure, DVL Productions can suspend its obligations under the Agreement during the period that the force majeure continues. If this period lasts longer than three months or if there is permanent force majeure, then each of the parties is entitled to dissolve the Agreement (partially and out of court). In both cases, this is done without any obligation to pay damages to the other party, without prejudice to the (payment) obligations of the Other Party with regard to the part of the Agreement already performed by DVL Productions. The latter only applies if independent value can be attributed to the performed part of the Agreement.

Article 8 Cancellation

1. Cancellation by the Other Party of an Agreement already concluded between DVL Productions and the Other Party can only take place with the written consent of DVL Productions.

2. If the Other Party cancels at a time earlier than two weeks before the start of the Event, the costs already incurred will be charged. DVL Productions will specify the costs.

3. If the Other Party cancels two weeks or less before the start of the Event, 70% of the invoice amount will be charged, unless the costs already incurred are higher. In this case, the costs already incurred will be charged. DVL Productions will specify those costs.

4. Without prejudice to the provisions of the previous paragraph, DVL Productions reserves all rights to demand full compliance with the Agreement as well as full compensation for the damage.

5. If there are too few participants to participate in the Agreement, DVL Productions has the right to terminate the Agreement with immediate effect. If DVL Productions informs the Other Party in writing no later than two weeks before the agreed date, the Other Party cannot claim compensation. The payment made under the Agreement of the Other Party will be refunded.

Article 9 Liability

1. Participation in the Event is at your own risk. DVL Productions is not liable for any damage, unless DVL Productions causes damage due to the faultiness of the goods delivered by it or as a result of the performance of the Event, if and insofar as that damage is caused by intent or deliberate recklessness on the part of DVL Productions.

2. The cumulative liability on whatever legal basis can never exceed the amount equal to the invoice amount. The total liability of DVL Productions will be limited to this.

3. The Other Party must behave as a reasonable participant and is obliged to follow all instructions given by DVL Productions during the Event.

4. The Other Party is obliged to wear a bicycle helmet during the Event.

5. The Other Party is obliged to comply with the local traffic rules and other legal and local provisions.

6. The Other Party can participate in the Event with:

a) own bicycle;

b) a bicycle rented by the Other Party;

c) a bicycle rented by DVL Productions at domestic events.

7. In the case of Article 9 paragraph 6 sub a, DVL Productions will not be liable due to faulty material used.

8. In the case of article 9 paragraph 6 sub b, DVL Productions is not liable due to faultiness of the material used and in case of damage to the material. Not even if DVL Productions has acted as an intermediary in the context of the rental.

9. If use is made of a bicycle rented by DVL Productions as stated in Article 9 paragraph 6 sub c, a deposit equal to the amount paid by DVL Productions will be paid one week before the start, if the Event is booked immediately. deposit charged to the Other Party. The deposit in the amount of the amount that DVL Productions has received from the bicycle rental company as a deposit will be returned to the Other Party’s account 24 hours after DVL Productions has received the (partial) deposit. Damage to the bicycle caused by the Other Party, for which any damage that DVL Productions has to pay to the lessor will be charged one-on-one to the Other Party.

10. DVL Productions can, if desired by the Other Party, transport the bicycle of the Other Party for foreign Events to the relevant destination. The risk of damage or theft to

or of the bicycle during the transport of the bicycle lies with the Other Party, except in the event of intent or deliberate recklessness on the part of DVL Productions.

11. If something breaks during the stay in the apartment/house/hotel or the like, the Other Party is liable for this and must indemnify DVL Productions against any damage.

12. In order to be able to participate in the Event, the Other Party is obliged to have or take out health insurance and travel and accident insurance. DVL Productions is indemnified against claims arising from these insurance policies.

13. The Other Party must be insured against the risk of damage that he/she or a surviving relative may suffer as a result of death, injury or illness, caused by participation in the Agreement.

14. The Other Party must be in possession of the documents applicable in the relevant country on departure and during the bicycle trip. This may include required visas, proof of vaccinations, travel documents and the like. The Other Party must itself check in good time before departure whether the information previously obtained has not changed. DVL Productions accepts no liability for the consequences arising from not being in possession of the correct documents.

15. The Other Party is prepared and is aware of the fact that participation in the Agreement requires good health, both mental and physical, and the Other Party declares that this requirement is met and that the Other Party has sufficiently prepared for participation in the event.

16. DVL Productions is not liable for the shortcoming of an obligation attributable to the Other Party as a result of unavoidable and extraordinary circumstances or attributable to third parties that have not been engaged by DVL Productions for the performance of the Event.

17. The Other Party indemnifies DVL Productions against any claims from third parties during the Event that have arisen due to the actions of the Other Party.

Article 10 Applicable law and disputes

1. The Agreement is exclusively governed by Dutch law, even if an obligation under the Agreement is wholly or partly performed abroad or if the party involved in the legal relationship is domiciled there.

2. The court in the place where DVL Productions has its registered office has exclusive jurisdiction to take cognizance of disputes, unless the law prescribes otherwise. Nevertheless, DVL Productions has the right to submit the dispute to the competent court according to the law.

3. The parties will only appeal to the court after they have made every effort to settle a dispute in mutual consultation.

Article 11 Location and change of conditions

1. These terms and conditions have been filed with the Chamber of Commerce in Zwolle.

2. The most recently filed version as it applied at the time of the conclusion of the Agreement always applies.

3. The Dutch text of the terms and conditions is always decisive for the interpretation thereof.

4. Nothing in these terms and conditions may be copied and/or reproduced and/or transferred in any way whatsoever in writing, electronically and/or orally without written permission from DVL Productions.
